IF YOU ACCEPT THIS AGREEMENT WITHOUT READING IT IN ITS ENTIRETY YOU ARE STILL BOUND BY THIS AGREEMENT IN ITS ENTIRETY

1.      AGREEMENT

In this Site Builder Agreement ("Agreement") YOU, YOUR and YOURSELF refer to each customer, WE, US and OUR refer to i010.com Inc. and "Services" refers to the Site Builder services provided by US as offered through i010.com Inc.

2. IMPORTANT INFORMATION

You should carefully read the following terms and conditions. Your purchase or use of i010.com Inc., our products implies that you have read and accepted these terms and conditions.

3. LICENSE

We grants you a nonexclusive limited license to use the web templates and other products sold through our web site by independent content providers (the .products.) in accordance with these Terms of Use and Conditions (the .license.) issued i010.com Inc.

a) MODIFICATIONS

You are authorized to make any necessary modification(s) to our products to fit your purposes.

b) UNAUTHORIZED USE

You may not place any of our products, modified or unmodified, on a diskette, CD, website or any other medium and offer them for redistribution or resale of any kind without prior written consent from our company. Any misuse or distribution of our templates/content will result in severe penalties; we will pursue legal action for any losses resulting from your misuse of our content. We do not grant exclusive rights for items downloaded from our template section.

c) IMAGE USAGE

All images used in our website templates are copyrighted by their respective owners and are subject to limited use. You do not have rights to reuse the images in their modified or present forms anywhere else including other templates or websites. Further you do not have rights to resell/license/sub license/lease the images used in our templates in their modified or present forms under any circumstances.

d) ASSIGNABILITY

You may not sub-license, assign, or transfer this license to anyone else without prior written consent from i010.com Inc..

e) OWNERSHIP

You may not claim intellectual or exclusive ownership to any of our products, modified or unmodified. All products are property of independent content providers. Our products are provided .as is. without warranty of any kind, either expressed or implied. You understand i010.com Inc. is not responsible for the content, quality or merchantability of any information, product or service offered herein and you must assume full responsibility to evaluate independently the accuracy, completeness, quality and usefulness of any information or other content. We hereby expressly disclaims any and all warranties, expressed and implied, including but not limited to any warranties of accuracy, reliability, merchantability or fitness for a particular purpose by any vendor, customer, or associate offering information, products, any services linked to the i010.com website. The user /customer agrees that i010.com Inc. is not responsible, and shall have no liability to such user, with respect to any information, product or service offered by others who are linked to the i010.com website. We shall not be liable for any damages allegedly sustained arising from use of the information, products, and services.

f) ACCESS AND DOWNLOADS

Your username and password is for your personal use only. If we discover that you share or distribute your username and password you understand that we will terminate your download access with us immediately. Furthermore, your IP address, credit card and email address may be banned for a period of up to 5 years. You are also not permitted to use a spider, web crawler, or other similar automated tool to download the content from our site. You also understand that if you deliberately share your username and password to others, your name and URL will be publicly shown on our CRIMINAL stolen users list.

g) Limitation of Liability

Client acknowledges that i010.com Inc. shall not assume or have any liability for any action by i010.com Inc. or its affiliates and licensees with respect to the use of content. To the fullest extent permitted by applicable law, including but not limited to, negligence, i010.com Inc. shall not be liable to Client for any indirect, incidental, special or consequential damages (including, without limitation, damages or loss of business, lost profits, business interruption, loss of business information, or any other pecuniary loss, even if i010.com Inc. has been advised of the possibility of such damages, in connection with i010.com Inc. or with any other product or service provided by i010.com Inc., or resulting from the use of or the inability to use the Website or any transaction entered into through or from i010.com Inc., or from unauthorized access to or alteration of your transmissions, data, or account. Client specifically agrees that i010.com Inc. is not responsible or liable to Client or anyone else for any threatening, defamatory, obscene, offensive or illegal conduct or speech of any other party or any infringement or violation of another.s rights, including intellectual property rights, rights of publicity, or rights of privacy. i010.com Inc..s liability to you for breach of this agreement is limited solely to $1.

h) Governing Law

This agreement is governed by, interpreted and enforced in accordance with the laws of province of Ontario and the federal laws of Canada without recourse to rules governing choice of laws. Any action relating to this agreement must be brought in Ontario and you irrevocably consent to the jurisdiction of such courts

i) Severability

If any term or provision of this Agreement is found to be unenforceable for any reason, this Agreement shall remain in full force and effect and shall be fully enforceable on its remaining terms and conditions.

j) Refusal Of Service

We reserve the right to refuse, cancel, or suspend service at our sole discretion.

k) Warranty

We do not warranty or guarantee these templates in any manner. We cannot guarantee they will function with all 3rd party components as there is currently no certification process for such components. Browser compatibility should be tested against the demonstration templates on the demo server. Please ensure that the browsers you use will work with the templates, as we cannot guarantee that our templates will work with all browser combinations.

l) Support

We offer these templates and designs .as is., with no implied meaning that they will function exactly as you wish or with all 3rd party components and modules. Furthermore, we offer no support via email or otherwise for installation, customization, etc. We do not commit to technical support, but we reserve the right to respond and answer questions.

m) Refund Policy

i010.com Inc. is offering non-tangible irrevocable goods we do not issue refunds after the template purchase is made.

All our template(s) and digital work(s) are copyright protected. If you misuse or distribute our digital works without prior written consent from us, we will seek damages and you will be prosecuted.
